AMERICAN SOCIETY OF PLANT BIOLOGISTS

BY-LAWS
 

ARTICLE I

        The name of this organization shall be the WASHINGTON AREA SECTION OF THE AMERICAN SOCIETY OF PLANT PHYSIOLOGISTS.
 
 

ARTICLE II

Purposes

        The purpose of this organization shall be to encourage and promote the growth and development of plant physiology as a pure and applied phase of botanical science and to promote the general welfare and good fellowship of plant physiologists generally, and particularly of those residing within the Washington D.C. vicinity. It shall remain a scientific organization without the objective of financial gain.
 
 

ARTICLE III

Membership


Section 1. 

The Mid-Atlantic Section shall consist of regular members and student members.
Section 2.
All members of the American Society of Plant Biologists (ASPB) and other individuals in sympathy with the purposes of this Section who reside within the Washington D.C. vicinity shall be eligible for membership.

Section 3.

Student members shall include all individuals actively working toward a degree on some aspect of plant science.
Section 4. 
Regular and student members will pay annual dues in the fall of each year. Dues will be established by the Executive Committee, subject to approval by the membership at the spring meeting.
Section 5.
Only regular and student members in good standing shall be entitled to vote, and only regular members in good standing who are members of ASPB shall be entitled to hold office.

 

ARTICLE IV

Officers and Representatives

The officers of the Mid-Atlantic Section shall consist of a Chairman, Chairman-elect, and Secretary-Treasurer. The Chairman will normally preside at meetings of the Executive Committee. The Chairman is also responsible for the programs of the meetings and conducting the business of the Section, appointing such committees as may be required, and keeping the membership informed of the activities of the Executive Committee and any other committees.

The Chairman-elect presides at any Section meeting or Executive Committee meeting in the absence of the Chairman and will perform such duties as may be assigned by the Chairman. The Secretary-Treasurer will record the minutes of any business meeting, notify members of meetings and handle other appropriate correspondence, provide dues notices and collect dues, and maintain the financial accounts of the Section. The Chairman and Chairman-elect shall serve for one year. The Secretary-Treasurer shall serve for two years.

Section 2. 
The Chairman-elect will automatically become the Chairman at the end of the term of that office.  The Secretary-Treasurer may be elected Chairman-elect.

Section 3. 

In case of a vacancy in any office the Executive Committee shall select an officer to complete the unexpired term.
Section 4. 
Nominations for officers shall be made by a Nominating Committee consisting of three members appointed by the Chairman. The committee shall select at least two nominees for each Secretary-Treasurer and Chairman-elect. The ballot shall be mailed to the members at least two weeks before the spring meeting. In case of tie votes there shall be further balloting at the spring meeting. The results of the elections will be announced at the spring meeting.
Section 5. 
A representative to the American Society of Plant Biologists shall be elected for a three-year term and will act as a liaison for the Section at the National meetings.

Section 6. 

A student representative to the Executive Committee shall be appointed by the Chairman for a one-year term.

 

ARTICLE V

Meetings

Section 1.
There shall normally be a fall, winter, and spring meeting each year held at a time and place determined by the Executive Committee. If business is to be conducted, a quorum of 12 members in good standing, plus at least two members of the Executive Committee is required.

Section 3.

A majority of all members present shall be sufficient for the passage of all questions unless otherwise provided for by the governing document.

 

ARTICLE VI

Committees

        There shall be one standing committee, the Executive Committee. It shall consist of the Chairman, Chairman-elect, Secretary-Treasurer, the representative to the ASPB, and the student representative. Other committees may be appointed by the Chairman.
 
 

ARTICLE VII

Rules of Order

        Any procedural points not covered in this document shall be decided by resort to the latest edition of Robert’s Rule of Order.
 
 

ARTICLE VIII

Amendments

        Proposed amendments to the By-laws must be signed by at least three members in good standing and submitted to the Secretary-Treasurer. The proposed amendment shall be mailed to each member at least two weeks before the spring meeting and shall be voted upon by mail ballot. The results will be announced at the spring meeting. Adoption shall require a two-thirds majority of those members returning their ballots.
